End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and MLC Construction Trading Import Export Co., Ltd. ("MLC", "we", "us") for the AI virtual try-on mobile application and any updates, content, and related services (the "App").

By installing, accessing, or using the App you agree to be bound by this EULA and our Privacy Policy. If you do not agree, do not install or use the App.

1. License Grant

MLC grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on mobile devices that you own or control, for your personal, non-commercial use, in accordance with this EULA and the usage rules of the app store from which you downloaded it.

You may not:

  • copy, modify, adapt, translate, or create derivative works of the App;
  • decompile, disassemble, reverse engineer, or attempt to extract the source code or AI models of the App;
  • rent, lease, sell, sublicense, distribute, or make the App available to third parties;
  • remove or alter any proprietary notices;
  • use automated means (bots, scripts, scraping) to access the App or its servers;
  • circumvent usage limits or security measures;
  • use the App in any way that breaches applicable law or this EULA.

2. Your Content

You retain all rights to the photos and other content you upload ("User Content"). You grant MLC a limited, non-exclusive, worldwide, royalty-free license to process your User Content solely to provide the AI features you request. This license ends as soon as the result is returned to you, at which point your User Content is deleted from our servers as described in the Privacy Policy.

You represent and warrant that:

  • you own or have the necessary rights and permissions to the User Content;
  • any person shown in the User Content has given you permission to use their likeness in the App;
  • the User Content does not violate any law or the rights of any third party.

3. Acceptable Use

You must not use the App to create, upload, or share content that:

  • depicts any person without their consent, including face swaps of other people;
  • is sexually explicit, or sexualizes any person, especially minors;
  • is intended to deceive, defraud, harass, defame, or impersonate anyone;
  • depicts minors in any inappropriate manner;
  • constitutes deepfakes of public figures, political disinformation, or non-consensual intimate imagery;
  • infringes any copyright, trademark, privacy, or publicity right;
  • is unlawful in your jurisdiction.

We may use automated filters to block prohibited content and may suspend or terminate your access for violations.

4. AI-Generated Output

Images generated by the App ("Output") are created by artificial intelligence and are provided for entertainment and visualization purposes only. Output is a simulation and may be inaccurate or unrealistic. MLC makes no representation that any garment, hairstyle, color, or treatment will look or fit as shown.

Subject to your compliance with this EULA, you may use Output for personal purposes. You are solely responsible for how you use and share Output, and you must not present Output as an authentic photograph where doing so could mislead or harm anyone. Output may be similar to output generated for other users; MLC does not grant exclusivity over any Output.

5. Intellectual Property

The App, including its software, AI models, design, templates, sample images, clothing catalog, text, and trademarks, is owned by MLC or its licensors and is protected by copyright and other intellectual property laws. Except for the limited license granted in Section 1, no rights are granted to you. Sample clothing items and templates provided in the App may be used only within the App.

6. Third-Party Services and Advertising

The App may display advertising and may contain links to third-party websites or services. MLC is not responsible for the content, privacy practices, or availability of third-party services. Your use of them is governed by their own terms.

7. Updates and Availability

We may update, modify, suspend, or discontinue the App or any feature at any time, with or without notice. Some updates may be required to continue using the App. AI features depend on our servers and an internet connection; we do not guarantee uninterrupted availability.

8. Disclaimer of Warranties

THE APP AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MLC DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT OUTPUT WILL MEET YOUR EXPECTATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP OR ANY OUTPUT. MLC'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO MLC FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless MLC and its officers, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your User Content, your use of Output, or your breach of this EULA.

11. Termination

This EULA is effective until terminated. You may terminate it at any time by uninstalling the App. MLC may terminate or suspend your access immediately if you breach this EULA. Upon termination you must stop using the App and delete all copies. Sections 2 through 10 and 12 through 15 survive termination.

12. Apple App Store Terms

If you downloaded the App from the Apple App Store, the following also applies:

  • This EULA is between you and MLC only, not Apple. MLC, not Apple, is solely responsible for the App and its content.
  • The license is limited to use on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  • Apple has no obligation to provide maintenance or support for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation.
  • MLC, not Apple, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory compliance, and consumer protection claims.
  • In the event of a third-party claim that the App infringes intellectual property rights, MLC, not Apple, is responsible for its investigation, defense, settlement, and discharge.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.

13. Governing Law and Disputes

This EULA is governed by the laws of Vietnam, without regard to conflict-of-law principles. Any dispute shall be submitted to the competent courts of Ho Chi Minh City, Vietnam, unless mandatory consumer protection law in your country of residence provides otherwise. Before starting legal proceedings, please contact us so we can try to resolve the matter informally.

14. General

This EULA and the Privacy Policy constitute the entire agreement between you and MLC regarding the App. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign this EULA; MLC may assign it to an affiliate or successor. We may update this EULA by posting a new version with a new "Last updated" date; material changes will be notified in the App.
